End-User License Agreement (EULA) for Gace Core

This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and The Developer for the software product identified above, which includes computer software and may include associated media, printed materials, and online or electronic documentation (the “Software Product”).
By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software Product.
Grant of License. The Developer grants you a limited, non-exclusive, non-transferable, revocable license to use the Software Product on a single computer or device. You may not rent, lease, lend, sell, redistribute, sublicense or otherwise transfer the Software Product or any copy thereof to any third party. You may not make the Software Product available over a network where it could be used by multiple devices at the same time. You may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works based on the Software Product or any part thereof.
Reservation of Rights. The Developer reserves all rights not expressly granted to you in this EULA. The Software Product is protected by copyright and other intellectual property laws and treaties. The Developer owns the title, copyright and other intellectual property rights in the Software Product. The Software Product is licensed, not sold.
Termination. Without prejudice to any other rights, The Developer may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software Product and all of its component parts.
Fine. If you breach any provision of this EULA, you agree to pay The Developer a fine of GHC 10,000 for each violation. This fine is in addition to any other remedies that The Developer may have under law or equity.
Disclaimer of Warranties. The Software Product is provided “AS IS” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. To the maximum extent permitted by applicable law, The Developer does not warrant that the Software Product will meet your requirements or that the operation of the Software Product will be uninterrupted or error-free.
Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall The Developer be liable for any special, incidental, indirect or consequential damages whatsoever (including but not limited to damages for loss of profits, loss of data, business interruption or any other pecuniary loss) arising out of the use of or inability to use the Software Product or the provision of or failure to provide support services, even if The Developer has been advised of the possibility of such damages.
Governing Law. This EULA is governed by the laws of Ghana. Any dispute arising out of or in connection with this EULA shall be submitted to the exclusive jurisdiction of the courts of Ghana.
